Terms of Service
echology, Inc. | Delaware C-Corp
These Terms of Service ("Terms") govern your access to and use of the websites, platforms, and services operated by echology, Inc. ("echology," "we," "us," or "our"), a Delaware corporation, including echology.io and all related software, tools, APIs, and services (the "Services").
By accessing or using any of the Sites or Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.
1. Services
echology provides AI-powered document intelligence services using deterministic classification and locally-hosted machine learning. Products include Signal and Signal Provenance (operational intelligence and file provenance), Surface (AI citation optimization), and Syncro (temporal coherence analysis). AEC document intelligence is a vertical application of Signal.
2. Intellectual Property
echology IP. echology retains all rights in the Platform, including the decompose library, processing engines, all classification taxonomies, software, trademarks, patents, and trade secrets.
Your IP. You retain all rights in your documents, files, and data submitted to the Services. echology claims no ownership of your content.
License to echology. You grant echology a limited, non-exclusive license to process your content solely for providing the Services. This license terminates upon deletion of your content.
3. Data Handling
Local Processing. User content is not transmitted to cloud services, third-party APIs, or external servers for processing. All inference runs on locally-hosted models.
No Third-Party AI APIs. echology does not send your data to OpenAI, Anthropic, Google, or any external AI provider.
Data Processing Agreements. Clients may enter into a DPA governing specific data processing terms. The DPA prevails on data processing matters.
4. Disclaimers
THE SERVICES PROVIDE AI-ASSISTED DOCUMENT ANALYSIS. ALL OUTPUTS ARE ADVISORY AND DO NOT CONSTITUTE PROFESSIONAL ENGINEERING JUDGMENT, LEGAL ADVICE, OR ANY OTHER FORM OF PROFESSIONAL OPINION.
CLASSIFICATION RESULTS ARE ADVISORY, NOT AUTHORITATIVE. USERS ARE RESPONSIBLE FOR INDEPENDENTLY VERIFYING RESULTS BEFORE RELYING ON THEM FOR MATERIAL DECISIONS.
THE SERVICES DO NOT REPLACE QUALIFIED ENGINEERS, ARCHITECTS, ATTORNEYS, OR OTHER LICENSED PROFESSIONALS.
AI CITATION PRESENCE (SURFACE) IS MEASURED, NOT GUARANTEED. CITATION PATTERNS CHANGE AS AI ENGINES UPDATE THEIR MODELS.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
5. Limitation of Liability
ECHOLOGY'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. IF NO FEES WERE PAID, LIABILITY SHALL NOT EXCEED $100.
IN NO EVENT SHALL ECHOLOGY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
6. Indemnification
You agree to indemnify echology against claims arising from your use of the Services, your content, or your violation of these Terms.
7. Termination
Either party may terminate. Upon termination, your access ceases and echology may delete your content subject to applicable data retention obligations.
8. Governing Law
State of Delaware, without regard to conflict of laws principles. Exclusive jurisdiction in Delaware federal or state courts.
